scrollecom Terms of Service
Last updated: 28 September 2026 Effective from: 28 September 2026
Summary (not a substitute for the full Terms)
- Who we are. scrollecom is run by MB AGI Studio, a company registered in Lithuania. These Terms are the contract between you and us.
- What scrollecom is. A feed of short product videos with product research data for people who sell, or want to sell, online. Watching is free. We earn money from affiliate commissions on some supplier links and, once it launches, from an optional Pro subscription.
- The numbers are estimates. Prices, costs, margins, sales and trends are estimates built from public listings, third-party sources and our own models. They can be wrong. They are not advice and not a promise of sales or profit. What you sell, and whether it is legal to sell, is your decision and your responsibility.
- Supplier links may earn us a commission. It never changes your price, and it never changes which suppliers we show or in what order. Anything a brand pays us to show will be labelled as sponsored.
- Use the data for your own research. No scraping, no reselling, no bulk copying, and no training AI models on it.
- Be decent in comments. Our Community Guidelines apply, and we have zero tolerance for objectionable content and abusive users. You can report and block.
- You can leave at any time. Delete your account in the app under Account → Delete account. If you subscribe to Pro, you cancel it in your Apple ID settings, and Apple handles billing and refunds.
- Your rights stay yours. If you are a consumer, nothing in these Terms takes away the protections the law of your country gives you.

1. Who we are and what these Terms cover
In short: your contract is with MB AGI Studio in Lithuania, and it covers the scrollecom app and our websites.
scrollecom is provided by MB AGI Studio, a small partnership (mažoji bendrija) registered in the Republic of Lithuania. You can reach us at hello@agistudio.lt.
In these Terms, “we”, “us” and “our” mean MB AGI Studio. “You” means the person using scrollecom. “scrollecom” or the “Service” means the scrollecom mobile app, our websites at trymarbles.com (including media served from media.trymarbles.com), our brand and partner portal, and every feature, video and piece of data we make available through them.
These Terms work together with the following documents, which also apply to you:
- Community Guidelines (https://agistudio.lt/scrollecom/community): the rules for comments, nicknames, profile photos and anything else users share. They form part of these Terms.
- Privacy Policy (https://agistudio.lt/scrollecom/privacy): explains what personal data we process and why. It is information for you, not a contract you sign, and it applies whether or not you accept these Terms.
If a feature has its own specific terms, we show them to you before you use that feature. If they conflict with these Terms, the feature terms apply to that feature.
2. Agreeing to these Terms
In short: you accept these Terms when you create an account. As a guest you can watch without accepting anything, but the basic usage rules still apply.
When you create an account. Before you sign up with an email code or Sign in with Apple, the sign-up screen tells you that by continuing you agree to these Terms and links to them and to the Privacy Policy. Continuing is how you accept them. We keep a record of which version you accepted and when.
If you use scrollecom as a guest. When you first open the app we create an anonymous guest account for you automatically, so that you can watch, search and share without signing up. We show links to these Terms and the Privacy Policy when you first open the app, and they are always available under Account → Legal. As a guest:
- the rules in sections 8 and 9 (how you may use scrollecom and its data), section 10 (estimates, not guarantees) and section 21 (our responsibility) apply to your use, because they describe what the Service is and the conditions on which we make it available;
- obligations that only make sense for account holders, such as the licence you give us over your content (section 14) and the Pro terms (section 17), apply only once you create an account and accept these Terms.
If you don’t agree with these Terms, please don’t create an account, and stop using scrollecom.
Keep a copy. You can save or print these Terms at any time from https://agistudio.lt/scrollecom/terms. Earlier versions are available on request at hello@agistudio.lt.
3. Who can use scrollecom
In short: you must be at least 13. Teenagers may need a parent’s permission, and anyone under 18 needs a parent or guardian to agree to purchases.
Minimum age. You must be at least 13 years old to use scrollecom. If you are younger than that, please don’t use it.
Teenagers. If you are under the age at which your country allows you to agree to online services on your own (in Lithuania this is 14; in some EU countries it is 16), you may use scrollecom only with the permission of a parent or guardian, where the law requires it. If you are under 18:
- a parent or guardian must agree to any purchase, such as a Pro subscription (Apple’s “Ask to Buy” can help with this);
- please read these Terms with a parent or guardian, because some of what scrollecom shows is about running a business, and business decisions involve real money and legal duties.
We don’t show personalised advertising to anyone and we don’t sell anyone’s personal data, including the data of younger users.
Parents and guardians. If you think your child is using scrollecom without the permission the law requires, or you want their account deleted, contact us at hello@agistudio.lt. We will help, and may ask for information to confirm the request. We remove accounts we learn were created by someone under 13.
Using scrollecom for a company. If you use scrollecom on behalf of a company or other organisation, you confirm that you are allowed to accept these Terms for it, and “you” then also means that organisation.
Sanctions. You may not use scrollecom if you are subject to EU, UN, UK or US sanctions, or if you are located in a country or territory where providing the Service would break sanctions law.
4. Consumers and business users
In short: most of these Terms apply to everyone. A few clearly marked clauses apply only to business users, and consumers always keep their legal protections.
scrollecom is a research tool for people who sell online or are thinking about it. Some of our users are consumers in law and some act as businesses, so these Terms distinguish between them:
- You are a consumer if you are an individual using scrollecom for purposes that are mainly outside any trade, business, craft or profession.
- You are a business user if you use scrollecom for the purposes of your trade, business, craft or profession, or on behalf of a company or other organisation.
If the law of your country treats you as a consumer, you are a consumer for these Terms, whatever else they say. Clauses that apply only to business users say so (see sections 21.3 and 22). No part of these Terms limits the statutory rights you have as a consumer. If any wording is unclear, the meaning most favourable to a consumer applies.
5. What scrollecom is and how we make money
In short: a free feed of product videos with research data. We make money from affiliate commissions and, once available, Pro. We don’t sell your data or run ads.
scrollecom shows a vertical feed of short product videos. Tap a video to see research data about the product in it, such as:
- its typical selling price, estimated landed cost and estimated margin;
- estimated units sold and how that is changing;
- a trend stage (for example emerging, rising, peaking or cooling);
- search interest and where the product is sold;
- supplier offers, with unit cost, shipping and minimum order quantity.
You can also search products, see a weekly list of top products, save products and videos, and comment on videos.
What guests and accounts can do. Guests can watch the feed, search, open product pages, read comments, share and save up to 3 items. With a free account you can also save without limit, see supplier details and open supplier links, comment, like and report comments, block other users, and set a nickname and profile photo. The app shows which features need an account and which need Pro. We may adjust these limits over time under section 19.
How scrollecom is paid for. We are open about this because it affects what you see:
- Affiliate commissions. Some links to suppliers are affiliate links. If you buy something after tapping one, the supplier or an affiliate network may pay us a commission. Your price doesn’t change. See section 12.
- Pro subscription (planned). Once available, an optional paid subscription will unlock extra depth, such as longer sales history, more supplier offers and the full top-products list. See section 17.
- Sponsored content (possible in future). Brands may one day pay us to feature their products or videos. If that happens, that content will be clearly labelled as sponsored wherever it appears.
We don’t sell your personal data, we don’t show third-party advertising, and we don’t track you across other companies’ apps and websites.
scrollecom is independent. It is not affiliated with, endorsed by or sponsored by TikTok, Amazon, AliExpress, Temu, Shopify or any other marketplace or platform we mention.
6. How we recommend and rank content
In short: the For You feed is personalised from the interests you pick and how you use the app. The New tab isn’t personalised. Nobody can pay to change the order of supplier offers.
The For You feed is chosen and ordered by an automated recommendation system. The main things it takes into account, roughly from most to least important, are:
- The interests you choose when you start (product niches), which you can change at any time under Account → Interests.
- How you use the feed: how long you watch a video, whether you skip it quickly or watch it again, and whether you open the product, save it, share it, open the comments or tap “Source it”.
- How other viewers respond to each video, for example how often it is watched to the end or saved.
- Signals about the product, such as estimated sales momentum, search momentum, trend stage and estimated margin.
- Freshness: newer videos get a boost.
- Exploration and variety: some positions in the feed are used to show new videos that haven’t had many views yet, or niches you haven’t picked, so that you discover new things and new videos get a fair chance. We also avoid showing the same product, brand or niche too many times in a row, and we don’t show you a video again within 7 days of you seeing it. For a small share of users, we show videos in random order, to check that our recommendations are actually helping.
Your choices. You can change your interests at any time under Account → Interests. The New tab shows the newest videos first and does not use your profile or activity. Filters (niche, margin, price, search volume) apply to both tabs.
Search and top products. Search results are the products that match your search and filters, in the order you choose. The weekly Top products list ranks products by estimated recent sales, adjusted for growth and estimated margin.
Supplier offers for a product are ordered on their merits, mainly unit price and shipping cost and time.
What doesn’t affect ranking. The affiliate commission we might earn plays no part in which videos, products or suppliers we show, or in their order. If we ever accept payment for placement, that content will be labelled as sponsored and we will update this section before it starts.
The Privacy Policy explains how we use your data to personalise the feed.
7. Your account
In short: one person per account. Keep your email and Apple ID secure. Guest accounts live on your device.
Guest accounts. When you first open the app, we create an anonymous guest account (protected by a bot check from Cloudflare Turnstile). A guest account is tied to the app on your device. If you delete the app or sign out before creating a full account, your guest history may be lost. We may delete guest accounts that haven’t been used for a long time (see the Privacy Policy for the period).
Creating an account. You can sign up with a one-time code sent to your email, or with Sign in with Apple. When a guest signs up, the guest account becomes the full account, so your interests, history and saves carry over. If you choose to hide your email with Apple, we receive an Apple relay address instead of your real email.
Keeping your account secure. scrollecom doesn’t use passwords. Anyone who can read your email, or use your Apple ID, can sign in to your account, so keep those secure and don’t share sign-in codes. Tell us at hello@agistudio.lt straight away if you think someone else has used your account. You are responsible for activity on your account that you carry out or allow.
One person, one account. Accounts are personal. Don’t share your sign-in with others, and don’t sell, transfer or lend your account. See section 9 for the rules on multiple accounts.
Accurate information. Keep your email address current, so that we can reach you about your account.
Nicknames. Your nickname (@handle) must follow the Community Guidelines. You don’t own a nickname. We may change or remove a nickname that breaks the Guidelines, impersonates someone, or infringes someone else’s rights (for example a trademark).
Deleting your account. You can delete your account at any time in the app under Account → Delete account. Section 20 and the Privacy Policy explain what happens next.
8. Your licence to use scrollecom
In short: you may use scrollecom and its data for your own research and your own business. Everything else needs our written permission.
Subject to these Terms, we give you a personal, non-exclusive, non-transferable, revocable licence to:
- install and use the scrollecom app on devices you own or control, and use our websites; and
- view the videos, data and other content in scrollecom, and use what you learn from it for your own product research and your own business decisions, including if you run a one-person or small business.
You may share individual products and videos with others using the share features in the app, and you may discuss what you find with your own team or business partners.
This licence doesn’t let you use scrollecom for other people’s benefit as a service (for example, as an agency or consultant producing product research for clients), give access to people who aren’t account holders, or connect scrollecom to other systems. For team, agency, enterprise, API or data-feed use, contact us at hello@agistudio.lt for a separate agreement.
The licence ends if your account is terminated or you stop using scrollecom. We and our licensors keep all rights not expressly given to you. You get a licence to use scrollecom; you don’t buy it or any part of it.
9. Rules for using our data and content
In short: use scrollecom like a person, not a machine. Don’t scrape, copy in bulk, resell, feed it to AI, or get around limits.
scrollecom’s database of products, prices, estimates, rankings and supplier offers took a lot of work to build and is protected by database rights, copyright and other laws. To keep it available to everyone, you agree not to do, or help anyone else do, any of the following:
- Scraping and automated access. Use bots, scrapers, crawlers, scripts, automated or headless clients, or calls to our private interfaces (APIs) outside the official app and websites, to access scrollecom or collect data from it. Don’t create accounts automatically or interact with the Service by script.
- Bulk extraction. Systematically or repeatedly copy data from scrollecom, whether by automated means, screenshots or manual copying, to build a database, spreadsheet or other dataset, or to recreate any substantial part of scrollecom.
- Redistribution and resale. Sell, license, publish, republish or otherwise make available scrollecom data, rankings, lists or bulk screenshots to others, for example in a competing product, newsletter, course, paid community, report or public feed. Sharing individual products through the app’s share features, and discussing your findings, is fine.
- AI training and datasets. Use scrollecom data, videos or other content to train, fine-tune, test or build any artificial intelligence or machine learning model, or to create embeddings, vector stores or datasets, or feed our data into AI systems in bulk or automatically. Casually using a few numbers with an AI assistant for your own decisions (for example, asking a chatbot to check your margin calculation for one product) is fine. We reserve our rights to text and data mining under Article 4(3) of the EU Copyright Directive (2019/790).
- Getting around limits. Share your account, use several accounts, or keep creating new guest accounts (for example by reinstalling the app) to get around save limits, free-tier limits, trials, rate limits, restrictions or bans; or bypass, disable or interfere with paywalls, access controls, rate limits or bot protection.
- Reverse engineering. Decompile, disassemble or reverse engineer the app or the Service, except where the law expressly allows it despite this restriction (for example, for interoperability under EU law).
- Harming the Service. Probe, scan or test our systems for weaknesses without permission (if you find a security problem, please report it responsibly to hello@agistudio.lt); overload or disrupt the Service; or upload malware.
- Embedding and framing. Integrate, embed or frame scrollecom or its data in another product, website or app without a written agreement.
- Breaking the law or others’ rights. Use scrollecom in a way that breaks the law or infringes anyone’s rights, or to build a competing service.
We may apply reasonable usage limits (for example on searches, saves, supplier clicks or comments) to protect the Service, and bot protection or rate limits may block activity that looks automated. If we believe you have broken this section, we may act under section 20.
10. Product data: estimates, not guarantees
In short: our numbers are good-faith estimates, not facts or advice. Check before you spend money.
What the data is. Product data in scrollecom includes prices, landed cost, margin, fees, units sold, revenue, trend stage, competition, search volume, where products are sold, and supplier prices, shipping times and minimum order quantities. It comes from public listings, third-party sources and our own models. Much of it is estimated or modelled, not measured, and it is marked as an estimate in the app. The (i) buttons explain what each number means.
What that means for you.
- Estimates can be incomplete, out of date or wrong. Market conditions, prices, fees, exchange rates, duties, VAT, shipping costs and returns vary and change quickly. Landed cost and margin are approximations.
- Supplier prices, stock, shipping times and terms are set by the suppliers and can change at any time.
- scrollecom does not guarantee that any product will sell, or that you will make sales, revenue or profit.
- Nothing in scrollecom is financial, investment, legal, tax, customs or business advice. Showing a product is not a recommendation to sell it, and not a statement that it is legal, safe or free of intellectual property problems.
- Do your own research and, where needed, take professional advice before you buy stock, sign up with a supplier or launch a product.
What we do promise. We compile and present the data with reasonable skill and care, we label estimates as estimates, and we fix errors in the Service that we become aware of. If you are a consumer, your statutory rights about the conformity of digital content and services are not affected.
11. Your responsibilities as a seller
In short: what you sell, and how, is up to you, and so is making sure it is legal.
If you decide to source or sell a product you found on scrollecom, you alone are responsible for:
- checking that the product is legal and safe to sell where you sell it, and that it meets product safety rules, certification and labelling requirements (for example the EU General Product Safety Regulation, CE or UKCA marking, and FCC rules);
- making sure you have the rights to sell it, and that it is not counterfeit and does not infringe anyone’s trademarks, designs, patents or copyright;
- customs, import duties, VAT, sales tax and income tax;
- the rules of the marketplaces and platforms you sell on (for example TikTok Shop, Amazon or Shopify), including their policies on listings, advertising and restricted products;
- truthful advertising and product claims to your own customers; and
- your dealings with suppliers (see section 12).
12. Suppliers, affiliate links and other third parties
In short: suppliers are separate businesses. When you buy from one, your contract is with them, not us. We may earn a commission on some links, and that never affects what we show.
Supplier offers and “Source it”. Supplier offers show suppliers that may sell a product. When you open a supplier link, you leave scrollecom for the supplier’s website or an affiliate network’s website, usually inside an in-app browser.
Affiliate links. Some supplier links are affiliate links. If you buy after tapping one, we may earn a commission from the supplier or an affiliate network. This:
- does not change the price you pay;
- does not affect which suppliers we show or the order we show them in (see section 6); and
- is disclosed next to supplier links in the app.
To track commissions, the link carries a random click reference. It doesn’t carry your name, email or account ID. The Privacy Policy has the details.
Your contract is with the supplier. Any order, quote, sample, payment, delivery, refund or dispute is between you and the supplier. We are not a party to it, we don’t act for the supplier or for you, and we don’t handle payments for physical goods. Suppliers’ websites have their own terms and privacy policies, which apply when you use them. We don’t check or endorse suppliers beyond what we say in the app. If you have a problem with a supplier, please tell us too, and we will consider removing or re-checking the offer.
Other third-party services. scrollecom may link to or work with other services, such as Apple (sign-in and payments) and marketplaces. Their terms apply to your use of them, and we are not responsible for their content or practices.
13. Videos and other content we show
In short: the videos belong to us or to the brands and partners who licensed them to us. Watch and share them in the app, but don’t download or reuse them.
Where the videos come from. Product videos in scrollecom are made by us, or uploaded by brands, creators and partners who have given us a licence to show them. Brands and partners who upload videos promise us that they have the rights needed, including to any music and to the people who appear in them.
What you may do with them. You may watch videos in scrollecom and share them using the app’s share features, which share a link rather than the file. You may not download, record, copy, re-upload, edit or otherwise reuse videos, product images or music outside scrollecom, unless the owner has given you permission. We give you no licence to any music or sound recordings.
Our intellectual property. The scrollecom app, websites, software, design, logos and the “scrollecom” name, and our selection, arrangement and compilation of data, rankings, scores and estimates, belong to us or our licensors and are protected by law.
Other companies’ brands. Product names, brand names, logos and product images belong to their owners. We show them to identify products for research. This does not mean the owners endorse scrollecom or have any connection with us. If you are a rights holder and something concerns you, see section 16.
14. Your content
In short: you own what you post. You let us show it in scrollecom to run the Service, and that permission ends when you delete it.
What “your content” means. Your comments (and likes), your nickname and profile photo, and anything else you add to scrollecom, such as saves and, where available, stages, notes or boards.
Public and private. Your nickname, profile photo, comments and comment likes are visible to other users of scrollecom, including guests. Your saves, stages and notes are private to you, unless a feature clearly lets you choose to share them.
You keep ownership. You own the rights you have in your content.
The permission you give us. When you add content to scrollecom, you give us a non-exclusive, worldwide, royalty-free licence to host, store, copy, display, distribute and adapt it (for example, to resize or crop your profile photo, or to fit your comment on screen), only to operate, provide, secure and improve scrollecom. We may let our service providers (such as our hosting providers) use your content for these purposes on our behalf. You also allow other users to view your public content within scrollecom.
When the permission ends. It ends when you delete the content or delete your account, except:
- for copies in backups, which are overwritten within the period stated in the Privacy Policy;
- where the law requires us to keep it, or we need it to deal with a legal claim or a report about it.
We will not use your comments, nickname or photo in advertising or marketing outside scrollecom without asking you first.
Your promises. You confirm that you have the rights to what you post (for example, that the photo is yours to use), and that it follows these Terms, the Community Guidelines and the law.
Moral rights. Nothing in these Terms takes away your moral rights where the law does not allow them to be waived. You agree that ordinary technical handling (such as cropping your photo into a circle) is not treated as altering your work.
Feedback. If you send us ideas or suggestions, we may use them freely without paying you or naming you. We are not obliged to use them. Please don’t send us anything confidential.
15. Community rules, reporting and moderation
In short: follow the Community Guidelines. We use filters, your reports and human review to enforce them, we tell you why if we act against your content or account, and you can ask us to review our decision.
Zero tolerance. We don’t tolerate objectionable content or abusive users. Content and behaviour that break the Community Guidelines or the law will be removed, and users who abuse others may lose their account.
How we moderate. We use:
- automated filters when you post, which block comments containing links and certain offensive words (including disguised spellings), duplicate comments and posting at excessive rates;
- reports from users, available on every comment (including for the commenter’s nickname or photo). A comment you report is hidden from you straight away. A comment reported by several different people may be hidden automatically until we review it;
- human review by our team of reported content and of automatically hidden content. We aim to review reports of objectionable content within 24 hours.
What we can do. Depending on how serious the problem is and whether it has happened before, we may:
- hide or remove a comment;
- reset or remove a nickname or profile photo;
- limit your ability to comment or use certain features;
- suspend your account for a period; or
- terminate your account (section 20).
We act in a diligent, objective and proportionate way, and we take into account everyone’s rights, including freedom of expression.
Blocking. You can block another user from their comment. You won’t see each other’s comments.
Reporting illegal content (anyone can do this). You can report content you think is illegal, even without an account, in the app or by emailing hello@agistudio.lt. To help us act quickly, include:
- why you think the content is illegal;
- where exactly it is (for example the video link, the comment text, and the commenter’s nickname);
- your name and email address (you don’t need to give these if you are reporting child sexual abuse material or certain related offences); and
- a statement that you believe, in good faith, that the report is accurate and complete.
We will confirm we received your report, decide on it promptly and objectively, and tell you what we decided and whether automated tools were involved.
If we act against your content or account, we will tell you (unless the law prevents it, or telling you would put someone at risk or help someone evade our rules) with a statement of reasons that explains:
- what we did, how widely it applies and how long it lasts;
- the facts and circumstances we relied on, including whether it followed a report;
- whether automated tools were used to detect it or decide on it;
- the rule in these Terms or the Community Guidelines, or the law, that we applied; and
- how you can challenge the decision.
Challenging a decision. If you disagree with a decision we made about your content or account, or about something you reported, reply to our notice or email hello@agistudio.lt within 6 months. A person who was not involved in the original decision will review it, and we will reverse it without undue delay if it was wrong. If you are in the EU, you may also use an out-of-court dispute settlement body certified under Article 21 of the Digital Services Act, and you can always go to court.
Misusing reports. Don’t send reports or complaints you know are unfounded. If someone keeps doing so, we may stop processing their reports for a reasonable period, after a warning.
Serious threats. If we become aware of information that suggests a crime threatening someone’s life or safety, we may report it to the police or other authorities, as the law requires.
16. Reporting intellectual property infringement
In short: if something in scrollecom infringes your rights, tell us and we will act. Repeat infringers lose their accounts.
Send notices about copyright, trademark or other IP infringement (for example, a video, product image, profile photo or comment) to hello@agistudio.lt with the details listed in section 15. Where we remove a video, we also clear it from our content delivery network.
Repeat infringers. We terminate, in appropriate circumstances, the accounts of users who repeatedly infringe others’ intellectual property.
17. Pro subscription
In short: if and when Pro is available, Apple bills it, it renews automatically until you cancel in your Apple ID settings, and Apple handles refunds.
Pro is not available yet. When it becomes available, this section applies to it.
What Pro includes. The paywall in the app describes what Pro includes before you buy, for example longer sales history, extra metrics, more supplier offers and the full top-products list. Features that are free when you subscribe (such as the feed, saves and core product numbers) are not part of what you pay for.
You need an account. Guests can’t buy Pro. Your Pro access is linked to your scrollecom account and works wherever you sign in to it. Use Restore purchases if Pro doesn’t appear on a new device.
Billing through Apple. Pro is sold as an auto-renewing subscription through Apple’s App Store and charged to your Apple ID. We use a service called RevenueCat to check your subscription status. We never see your card details.
- Price. The price and billing period are shown before you confirm your purchase. Apple may add or include local taxes.
- Automatic renewal. Your subscription renews automatically at the end of each period, at the then-current price, unless you cancel at least 24 hours before the period ends.
- Cancelling. Cancel at any time in your Apple ID settings (Settings → your name → Subscriptions). You keep Pro until the end of the period you have paid for. Deleting the app or your scrollecom account does not cancel the subscription.
- Free trials. If we offer a free trial, its length and the price you’ll pay afterwards are shown before you start. Unless you cancel at least 24 hours before the trial ends, it converts to a paid subscription. Trials are limited to one per person.
- Price changes. If the price of your subscription goes up, Apple will notify you and, where Apple’s rules or the law require it, ask for your consent before charging the new price.
- Refunds. Apple handles payments and refunds under its own terms. Request a refund from Apple at reportaproblem.apple.com. Your statutory rights, including any right to cancel under consumer law, are not affected.
Changes to Pro. We may improve or change Pro. If we make a change that significantly reduces what you are paying for during a paid period, we will tell you in advance, and you can cancel. Where the law gives you a right to a price reduction or refund for such a change, we will help you get it (including through Apple where Apple controls the payment).
Family Sharing. If we make Pro available through Apple Family Sharing, members of your family group may use it as Apple allows. This is not a breach of section 9.
18. Notifications and emails
In short: we send the emails needed to run your account. Anything else is your choice.
- Service emails. We send emails that are needed to run your account, such as sign-in codes, security notices, and notices about important changes to these Terms. You can’t opt out of these while you have an account.
- Push notifications (planned). If and when we add notifications (for example, alerts about products you’ve saved), you choose whether to allow them in the app and your device settings, and you can turn them off at any time.
- Marketing. We only send marketing emails or promotional notifications if you have agreed, or where the law otherwise allows it, and every message lets you opt out.
19. Changes to scrollecom and to these Terms
In short: we keep improving scrollecom. We give at least 30 days’ notice before material changes to these Terms, and you can leave if you don’t agree.
Changes to the Service. scrollecom is a young product, and we regularly add, change and remove features, data sources and limits. We may do this to improve the Service, to respond to how it is used, for security, technical, legal or regulatory reasons, or because a data source or partner is no longer available. If a change significantly and negatively affects your use of a paid feature, section 17 applies. If we decide to shut scrollecom down, we will give you at least 30 days’ notice.
Changes to these Terms. We may update these Terms:
- to reflect changes to scrollecom or our business model;
- to comply with the law or a regulator’s or court’s decision;
- to address security, fraud or abuse; or
- to make them clearer.
For material changes, we will tell you at least 30 days in advance by an in-app notice or by email, and explain what is changing. We may make changes sooner where the law requires it or where we need to deal with a new security risk or abuse. Changes that don’t affect you negatively (such as corrections or new optional features) may apply once we publish them.
If you don’t agree to a change, you can delete your account before it takes effect (and cancel any Pro subscription through Apple). If you keep using scrollecom after it takes effect, the new Terms apply.
20. Suspending or ending your use of scrollecom
In short: you can leave at any time. We only suspend or close accounts for good reasons, we tell you why, and you can challenge it.
You can leave at any time. Delete your account in the app under Account → Delete account. For security, you’ll need to have signed in recently (we may send you a fresh code). When you delete your account:
- your account, profile, nickname, profile photo, comments, comment likes, reports, blocks, saves and activity history are deleted, as described in the Privacy Policy;
- if you signed in with Apple, we ask Apple to revoke scrollecom’s access to your Apple ID;
- some limited records are kept where the law requires it or for a short period for security, as the Privacy Policy explains; and
- any Pro subscription continues to be billed by Apple until you cancel it in your Apple ID settings.
If your account is linked to a brand or partner organisation in the portal, you can start the deletion in the app and we will complete it with you, because some records of video licences must be kept.
When we may restrict or end your use. We may restrict features, suspend your account or terminate it if:
- you seriously or repeatedly break these Terms or the Community Guidelines;
- we must do so to comply with the law, or with an order of a court or authority;
- your use creates a real risk of harm to other users, third parties or us, or a security or fraud risk to the Service; or
- a guest account has not been used for a long time.
We act in a reasonable, objective and proportionate way, and we choose the least severe measure that deals with the problem.
Notice. We will tell you before, or at the latest when, a restriction takes effect, with our reasons (see section 15), unless the law prevents it or giving notice would compromise an investigation, put someone at risk, or help someone abuse the Service. Where we terminate your account for reasons other than a serious breach, we will give you reasonable notice first.
Challenging a decision. You can ask us to review a suspension or termination as described in section 15. If we find it was unjustified, we will restore your account.
What continues after termination. Sections that by their nature should continue after your account ends continue, including sections 9 (as to data you already obtained), 10, 13, 14 (as to backups and legal holds), 21, 22, 23 and 25.
21. Our responsibility to you
In short: we are responsible for loss we cause by breaking these Terms, as the law requires. For business users, we exclude lost profits and cap our liability.
21.1 What we never exclude
Nothing in these Terms excludes or limits our liability for:
- death or personal injury caused by our negligence;
- fraud or fraudulent misrepresentation;
- loss we cause intentionally or through gross negligence; or
- anything else that cannot be excluded or limited under applicable law, including your statutory rights as a consumer.
21.2 If you are a consumer
- We provide scrollecom with reasonable skill and care. If we break these Terms, we are responsible for loss or damage you suffer that is a foreseeable result of our breach. Loss is foreseeable if it was obvious it would happen, or if we both knew it might happen when you started using scrollecom.
- We are not responsible for loss that was not foreseeable, for loss caused by events outside our reasonable control (see section 25), or for loss caused by your own decisions, such as buying stock or choosing a supplier based on data in scrollecom (section 10 explains the nature of the data).
- Damage to your device or content. If something we provide in scrollecom is faulty and harms your device or your own digital content because we were careless, we will fix that harm or pay you fair compensation for it. This does not cover harm that a free update we made available, or the minimum requirements we published for the app, would have prevented.
- The EU legal guarantee of conformity for digital content and digital services applies to you as the law provides.
21.3 If you are a business user
To the extent the law allows, and subject to section 21.1:
- scrollecom, including all data and estimates, is provided “as is” and “as available”, without warranties of any kind, express or implied, including of accuracy, completeness, merchantability, fitness for a particular purpose or non-infringement, and without any promise that it will be uninterrupted or error-free;
- we are not liable for any loss of profits, revenue, sales, business, contracts, opportunity, goodwill or anticipated savings, for loss or corruption of data, or for any indirect or consequential loss; and
- our total liability to you arising out of or in connection with scrollecom and these Terms, in any 12-month period, is limited to the greater of €100 or the amount you paid us (including through Apple) for scrollecom in the 12 months before the event giving rise to the claim.
21.4 Other things to know
- Mobile data. scrollecom streams video, which uses data. Your mobile provider’s charges are your responsibility.
- Third parties. Disputes between you and suppliers, marketplaces or other users are between you and them. We will reasonably help where we can (for example, by removing content that breaks our rules), but these Terms don’t make us responsible for what third parties do.
22. Extra terms for business users
In short: if you use scrollecom for a business, you cover us for claims caused by your business or your breach.
If you are a business user, you will compensate us (and our directors and staff) for reasonable losses, costs and expenses, including reasonable legal fees, arising from third-party claims that result from:
- your breach of these Terms or the law;
- your content; or
- products you source, list or sell, or your dealings with suppliers and customers.
We will tell you promptly about any such claim, let you take part in defending it, and not settle it without consulting you. This doesn’t apply to the extent the claim is caused by our own breach or fault.
If you are a consumer, this section doesn’t apply to you. Ordinary law applies instead: you are responsible for loss you cause us by deliberately or negligently breaking these Terms (for example, by scraping the Service).
23. Governing law and disputes
In short: Lithuanian law applies, but consumers keep the protections of their home country and can go to their local courts. Let’s try to sort things out first.
Talk to us first. Most problems can be sorted out quickly. Please contact us at hello@agistudio.lt and give us a chance to put things right.
Governing law. These Terms, and any dispute or claim arising from them or from scrollecom (including non-contractual ones), are governed by the law of the Republic of Lithuania. If you are a consumer, this doesn’t take away the protection given to you by the mandatory rules of the country where you live.
Courts.
- Consumers may bring claims in the courts of Lithuania or of the country where they live. We can only bring claims against a consumer in the courts of the country where the consumer lives.
- Business users agree that the courts of Vilnius, Lithuania have exclusive jurisdiction.
There is no arbitration clause and no class-action waiver in these Terms.
Consumer complaints and out-of-court resolution. If you are a consumer and we can’t resolve your complaint, you may contact the State Consumer Rights Protection Authority of Lithuania (Valstybinė vartotojų teisių apsaugos tarnyba, www.vvtat.lt), which handles out-of-court resolution of consumer disputes, or a consumer body in your country. For disputes about content moderation, see section 15. For privacy complaints, see the Privacy Policy.
If you are in the United States. You keep any rights under the laws of your state that cannot be waived by contract.
24. Terms that apply because you downloaded the app from Apple
In short: Apple isn’t responsible for scrollecom, and Apple can enforce these Terms against you.
If you downloaded the scrollecom app from Apple’s App Store, the following also applies, and takes priority over anything else in these Terms that conflicts with it:
- Parties. These Terms are between you and MB AGI Studio only, not with Apple Inc. (“Apple”). We, not Apple, are solely responsible for the app and its content.
- Scope of licence. Your licence to use the app is limited to using it on Apple-branded products that you own or control, as permitted by the Usage Rules in Apple’s Media Services Terms and Conditions, except that the app may be accessed by other accounts associated with you through Family Sharing or volume purchasing.
- Maintenance and support. We, not Apple, are responsible for providing any maintenance and support for the app, as described in these Terms or required by law. Apple has no obligation to provide any maintenance or support for the app.
- Warranty. We are responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) you paid for the app. To the maximum extent permitted by law, Apple has no other warranty obligation for the app, and any other claims, losses, liabilities, damages, costs or expenses due to a failure to conform to a warranty are our responsibility (as far as these Terms and the law make us responsible).
- Product claims. We, not Apple, are responsible for addressing any claims by you or a third party relating to the app or your possession or use of it, including: (a) product liability claims; (b) claims that the app fails to conform to any applicable legal or regulatory requirement; and (c) claims under consumer protection, privacy or similar laws, including in connection with the app’s use of the HealthKit and HomeKit frameworks (which scrollecom does not use).
- Intellectual property claims. If a third party claims that the app, or your possession or use of it, infringes their intellectual property rights, we, not Apple, are solely responsible for investigating, defending, settling and discharging that claim.
- Legal compliance. You confirm that you are not located in a country that is subject to a US Government embargo or that has been designated by the US Government as a “terrorist supporting” country, and that you are not listed on any US Government list of prohibited or restricted parties.
- Developer contact. Questions, complaints or claims about the app should be sent to: MB AGI Studio, Lithuania, hello@agistudio.lt.
- Third-party terms. You must comply with applicable third-party terms when using the app (for example, your mobile data agreement).
- Third-party beneficiary. Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms. Once you accept these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce them against you as a third-party beneficiary.
25. General terms
In short: the usual legal housekeeping.
- Entire agreement. These Terms, together with the documents listed in section 1, are the whole agreement between you and us about scrollecom. This doesn’t affect any statements we make that the law treats as binding (for example, the pre-contract information required by consumer law).
- Transfer. We may transfer our rights and obligations under these Terms to another organisation, for example if our business is sold. We will tell you, and the transfer will not reduce your rights as a consumer. You may not transfer your rights or obligations under these Terms without our written consent.
- Events outside our control. We are not responsible for delays or failures caused by events outside our reasonable control, such as failures of internet, hosting or payment providers, cyber attacks, power cuts, natural disasters, war, epidemics or government action. If such an event affects the Service, we will tell you where we can and take reasonable steps to limit the effect.
- Severability. If a court or authority decides that part of these Terms is invalid or unenforceable, the rest stays in force, and the affected part applies to the fullest extent the law allows.
- No waiver. If we don’t enforce a right straight away, we can still enforce it later.
- No third-party rights. Apart from Apple (section 24), nobody else can enforce these Terms.
- Language. These Terms are written in English, and the English version prevails. We may provide translations for convenience. Where the law requires a version in your language to have equal or priority standing, that version applies to that extent.
- Open-source software. The app includes open-source software components that are licensed under their own terms. Where those terms conflict with these Terms, they apply to those components.
- Security. We work to keep scrollecom secure, but no online service can be fully secure. The Privacy Policy explains our security measures.
